Solar Terms and Conditions

• Validity of Offer:
  • The prices quoted are valid for 15 days from the date of the offer and may be revised thereafter.
  • Final pricing is subject to change based on a detailed site survey or alterations in site conditions.
  • RBSC Associates will only execute work as per the defined scope in the final offer.
  • Any additional requirements or modifications will be charged separately.
• Taxes and Duties:
  • The prices quoted are inclusive of GST. Any additional statutory taxes, levies, or government charges, if applicable, shall be charged extra at actuals.
• Transport, Freight & Insurance:
  • Transportation charges are included. However, packing, forwarding, insurance, and handling costs for supply items are additional. Delivery is Ex-Works: Delhi / Noida / Lucknow.
• Payment Terms:
  • 80% advance payment along with the Purchase Order (PO) or Letter of Award (LOA).
  • 10% payment upon dispatch intimation.
  • 10% balance upon project commissioning (Inverter ON).
  • Delay in payment will attract an interest of 1.5% per month on the outstanding amount.
  • Additional charges for structure type, if applicable: Rs. 12,000/- per kW for Apollo structure and Rs. 16,000/- per kW for Jindal structure
  • Alternate payment term: 90% advance with PO, and remaining 10% before supply of balance material against proforma invoice.
• Warranty and Guarantee:
  • One-year product warranty covering workmanship and breakdown defects.
  • Solar Panels: 5-year performance warranty and 25-year manufacturing warranty.
  • Off-grid inverter: 2-year warranty.
  • All warranties/guarantees are provided by respective manufacturers. RBSC Associates shall not be held responsible for post-sale warranty obligations.
  • Extended warranties (if any) will be passed to the customer as provided by the manufacturer.
• Installation Height Disclaimer:
  • The standard installation height is 7 feet.
  • For installations above 7 feet, RBSC Associates is not liable for any resulting issues or damages.
  • The customer shall bear the responsibility and cost of additional structural support and safety measures.
• Delivery and Completion Timeline:
  • RBSC Associates will make all reasonable efforts to complete the installation on time.
  • Delays due to Force Majeure conditions or third-party dependencies shall not be deemed as a default.
  • Structure extension costs are Rs. 16,000/- per kW, if applicable.
• Commissioning & Testing:
  • RBSC Associates' maximum liability for any reason, including delays or defects, shall be limited to 2% of the total order value.
• Restocking Charges & Liquidated Damages:
  • Liquidated damages shall be the exclusive remedy for delays or deviations.
  • RBSC's liability in such cases shall be considered fulfilled upon payment of such damages.
• Limitation of Liability & Indemnity:
  • RBSC Associates shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profits, business interruption, or third-party claims.
  • Each party shall be liable for its own negligence. In cases of joint negligence, liability will be shared proportionately.
• Force Majeure:
  • Any delay or failure in execution due to events beyond reasonable control (e.g., natural disasters, strikes, war, governmental orders, etc.) shall be excused.
  • In such cases, both parties agree to renegotiate timelines and responsibilities.
• Subsidy Conditions:
  • Subsidy claims will be processed only after receipt of full payment and successful commissioning of the solar system.
• Net Metering Assistance:
  • For On-Grid systems, RBSC will assist the client in applying for Net Meter installation and NOC procurement.
  • However, the final approval is subject to local DISCOM policies.
• Use of Site Media:
  • RBSC Associates reserves the right to use photographs and videos of the installed systems for advertising, promotional, and documentation purposes.
• RBSC Branding Support:
  • RBSC may install a small branding board at the project site containing technical support contact details.
• Order Acceptance:
  • All orders are subject to confirmation and approval by the company's authorized personnel or directors.
  • Orders may be partially or fully executed, or cancelled based on availability and internal approval.
• Jurisdiction:
  • All legal disputes and matters arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Lucknow, Uttar Pradesh, India.
